WHAT I AM ABOUT TO INVEST IN

The company requests a minimum financing of €100,000 and a maximum of €150,000 to carry out the installation of three separate photovoltaic systems totaling 455 kWp (specifically 250, 83, and 125 kWp) on the roofs of SMEs in an industrial area in the Province of Chieti, along with software for CER management and energy sales. This financing will cover part of the investment made by Kairos, detailed in the "Financial Data" section.

The energy produced by the photovoltaic systems will be both injected into and sold on the grid, leveraging available incentives, and self-consumed on-site by the companies, resulting in considerable energy savings. The quotes for the installation of the three systems include turnkey execution of the systems.

R.E.C. (RENEWABLE ENERGY COMMUNITY)

The Renewable Energy Community is a group of users who, through a contract, collaborate toward a common goal: to produce, consume, and manage energy through one or more local energy systems. This means that multiple users producing energy from renewable sources, such as photovoltaic systems, can sell energy to other users within the same territory who consume energy.

Energy Communities enable the production of electricity locally and its direct transfer without transportation. In this way, a producer, in addition to generating energy for their own needs, provides this energy to the community. This energy can be used by a consumer located nearby, generating economic benefits for both parties thanks to the incentives and tax reliefs provided for Renewable Energy Communities (R.E.C.).

“The Decree provides two types of incentives that can be combined: a non-repayable grant of up to 40% of eligible costs, funded by the NRRP and targeted at communities whose systems are installed in municipalities with fewer than five thousand inhabitants, supporting the development of two gigawatts in total; and a feed-in tariff on renewable energy produced and shared across the national territory. Through this provision, the development of a total of five gigawatts of renewable energy production systems will be promoted. Within thirty days of the Decree's entry into force, the Ministry, following verification by ARERA and upon proposal by the Energy Services Manager (GSE), will approve the operational rules for the recognition of incentives.”

DEFINITION OF INTEREST RATE

In recent months, the global socio-economic context has led to a significant increase in inflation, defined as the prolonged rise in the average price level of goods and services. The ECB has therefore implemented an increase in mortgage and loan rates with the aim of preserving consumers' purchasing power. The rise in central rates is a macroeconomic policy aimed at curbing inflation: the goal of increasing rates is to reduce purchasing power by decreasing the liquidity available to both individuals and businesses, thereby slowing the economy and preventing a continuous, uncontrolled rise in prices. In June 2024, after five years, the ECB made its first rate cut of 0.25 percentage points, followed by an additional 0.25 points in September and another 0.25 points in October, with a downward outlook under continuous review based on macroeconomic estimates, opening new scenarios in the financial market.

The energy consultants at Kairos Ingegneria, through a detailed analysis of energy usage, can identify waste and suggest interventions aimed at optimizing energy management, solutions for modernizing existing systems (where necessary), and investments in new technologies based on renewable energy sources. These solutions aim to maximize efficiency and ensure a significant reduction in costs.

The Kairos team will support you not only during the initial verification phase. Once the objectives and necessary tools are identified, they will personally oversee, or work with external collaborators under their supervision, the implementation of the required interventions. They also offer assistance with bureaucratic procedures, ensuring transparency and efficiency in communication.

THE ANALYST'S OPINION

The analysis of the company proposing itself for the fundraising is based on the report provided by EasyFintech S.r.l. - License art. 134 TULPS Prefecture of Milan prot. no. 14795/12B15E dated 01/31/2020 - utilizing data from available databases such as Crif, CriBis, CeBi, Cerved, Dun & Bradstreet, InfoCamere, and other financial scoring tools. FINANCING AMORTIZATION SCHEDULE

The amortization plan provides for the repayment of Capital and Interest with each installment. There will be quarterly installments of €7,968.03 starting from the sixth month.

The following amortization plan for Kairos - Società di Ingegneria - S.r.l. is calculated with an interest rate of 6.04% for a total of €100,000, excluding the EURIBOR3M which will need to be added.

Note: The start of the amortization plan is finalized on the last day of the month after the release terms have expired. Therefore, the schedule provided here is a mere simulation containing the first possible date in case the campaign is finalized at its expiration.
